Platform License Terms

These Platform License Terms govern access to and use of the TruEncounter™ platform.

Access to the TruEncounter™ platform is provided only to authorized organizations pursuant to a separate written agreement. These Terms are intended to outline general conditions of use and do not replace or supersede any executed agreement.

License Grant

Subject to the terms of an applicable written agreement, TruEncounter™ grants a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for internal business purposes.

No ownership rights are transferred. All rights not expressly granted are reserved by TruEncounter™.

Intellectual Property

The TruEncounter™ platform, including all software, systems, processes, workflows, and underlying technology, is the exclusive property of TruEncounter™ and is protected by applicable intellectual property laws.

The platform is built on patent-pending technology covering methods and systems for secure encounter verification.

Nothing in these Terms shall be construed as granting any rights to the underlying technology beyond the limited license to use the platform.

Restrictions on Use

Users and organizations may not:

• copy, modify, or create derivative works of the platform
• reverse engineer, decompile, disassemble, or attempt to discover underlying methods or processes
• replicate, simulate, or build competing systems based on the platform
• use the platform for any unlawful or unauthorized purpose
• allow unauthorized access to the platform

Authorized Use

The platform may only be used by authorized personnel within an organization in accordance with applicable laws, regulations, and internal policies.

Organizations are responsible for:

• managing user access and credentials
• ensuring appropriate use of the platform
• maintaining compliance with applicable healthcare and privacy laws

Data and Compliance Responsibility

Organizations using TruEncounter™ are solely responsible for:

• the data they input, collect, or manage through the platform
• obtaining required consents and authorizations
• compliance with all applicable laws, including HIPAA and other privacy regulations

TruEncounter™ does not control or supervise how organizations use the platform within their operations.

Security and Access

Access to the platform may be restricted, monitored, or terminated at any time to maintain system integrity, security, and compliance.

TruEncounter™ reserves the right to suspend or revoke access in cases of misuse, unauthorized activity, or violation of these Terms.

No Warranty

The platform is provided on an “as is” and “as available” basis, subject to the terms of any applicable agreement.

TruEncounter™ makes no warranties except as expressly set forth in a written agreement.

Limitation of Liability

To the fullest extent permitted by law, TruEncounter™ shall not be liable for any indirect, incidental, or consequential damages arising from the use of the platform, except as otherwise stated in a written agreement.

Governing Agreement

In the event of any conflict between these Terms and a signed agreement between TruEncounter™ and an organization, the signed agreement shall control.

Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Florida.
